17 Years in Legal Practice

Lawyering

17 years.

That is how long I have been in the legal profession.

Over the years, there have been many transactions done and dusted, and many people I worked with on those transactions have since moved on to other paths.

There are not many people I can turn to and ask, โ€ So I was genuinely pleased to be reunited with a principal adviser on an M&A deal – someone who started her career around the same time I did, though in a different profession.

It was nice to have someone remind me of the deals we had done together.

“Do you remember the placement exercise we did for XXX Berhad? We were in Penang for the deal.”

“And we did a few exercises for YYY Berhad – the special issue of shares, dividend in specie, and then the disposal of its subsidiaries.”

“And the issuance of shares and warrants for ZZZ Berhad.”

The conversation stayed with me, as it is rare to have someone who remembers the same journey – the same challenges, the same milestones, the same small victories. We worked together on a few transactions and grew together in our respective careers.

Looking back, I realise these shared memories are what make a career meaningful. Walking down this memory lane reminded me that careers are not just about deals and headlines. Theyโ€™re about the people who witness the journey alongside us.

Peak Period: A Moving Target for Corporate Lawyers

Partial Share Sales in Malaysia: What Sellers Need to Know About Guarantees

In partial disposals, itโ€™s common for sellers and buyers to agree that any existing guarantees given by the sellers to secure banking facilities of the target companies will be adjusted to reflect the post-completion shareholding. M&A Break Fees: Practical Constraints in Malaysia

In M&A transactions, break fees refer to a pre-agreed sum payable if a party withdraws from a proposed transaction without any breach by the counterparty. In principle, break fees are intended to deter frivolous exits and to compensate the other party for transaction-related costs, including due diligence and advisory expenses. …
