Draft, review, revise. Repeat.

If you are an equity capital markets lawyer, this cycle is all too familiar.

Send out a draft. Get comments from other advisers.

If you are diligent, you’ll compare the draft you sent with the one you received.

Accept changes, track amendments.

Enlarge the view if you’re straining to read font size 9 in tables.

Fix formatting. Catch typos and double spaces – someone will if you don’t.

Double-check the email list to ensure every due diligence working group member is included. Send out another draft.

Attention to detail and connecting the dots is key. Understand how changes in one part of a document might affect other parts, how comments from different advisers align or conflict, and ensure that all these elements are consistently addressed throughout the drafting and revision process.
