“Pay me tuition fees,” I jokingly told a colleague after walking him through the steps of an M&A deal in 15 minutes.
It took me years and numerous transactions to recognise the patterns. No one explained to me what conditions precedent and conditions subsequent meant. I had to flip through SPAs repeatedly to understand the consequences if CPs weren’t fulfilled or if they were fulfilled but the SPA was not completed.
Over time, I’ve made it a point to explain the context and reasoning behind decisions when working with others, so they don’t have to stumble in the dark.
But one thing I noticed when working with others: you only get as much as you put in.
I can explain and guide, but you have to take ownership of your role in the transaction. You have to want to improve and act on it.
It’s not just associates who want to be inspired and supported. Partners feel the same, including me.
